But it reshapes the landscape for every decentralized compute protocol, every GPU miner, every tokenized data center project. I watch the horizon so the traders don't. This is the horizon.


Context: The Architecture of the Guarantee

Let me strip the narrative down to its bones. SB Energy, a subsidiary of SoftBank, will build, own, and operate the PORTS-Pike Technology Campus in Pike County, Ohio. OpenAI signs a 20-year lease. Nvidia signs multiple residual value guarantees covering roughly 4.25 gigawatts of information technology load. The guarantee is not a loan—it is a conditional promise to cover the residual value if the lease fails. Think of it as a credit enhancement, a synthetic rating upgrade for a project that wouldn't otherwise qualify for investment-grade debt.

OpenAI has agreed to reimburse Nvidia for any amount Nvidia actually pays the lessor. The guarantee terminates once OpenAI achieves a satisfactory credit rating. That termination clause is the key. It reveals the purpose: Nvidia is bridging the gap between OpenAI's current credit profile and the scale of capital required. Once OpenAI can stand on its own, Nvidia exits. This is not charity. It is a strategic bet on future compute demand.

Nvidia also invested $1.5 billion in SB Energy separately. And it secured an option, at its sole discretion, over an additional 3.75 gigawatts. Capacity comes online in phases beginning in 2028. OpenAI will run Nvidia's full-stack DSX platform at the site. Nvidia becomes the exclusive compute provider. A tokenized GPU network cannot guarantee uptime, latency, or exclusivity. OpenAI is not buying compute on a spot market. It is building a factory. The difference is the difference between renting a hotel room and owning a house.

This also reveals the true cost of AI compute. It is not just the electricity or the hardware. It is the capital cost of the building, the land, the grid interconnection, and the risk premium. Nvidia is effectively monetizing its own credit rating. The guarantee lowers the cost of capital for the project, making it bankable.
